Terms & Conditions

Please review these terms carefully before using CardHive.

1. Acceptance of Terms

By accessing or using CardHive, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the platform.

2. Eligibility

You must be a business entity or an individual of legal age in your jurisdiction to use CardHive. CardHive is not available in jurisdictions where use would violate applicable laws.

3. Description of Service

CardHive is a SaaS loyalty platform for managing digital loyalty programs. CardHive is not a bank, payment processor, or financial institution.

4. Account Registration & Security

You agree to provide accurate and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

5. Subscription & Billing

Paid subscriptions are billed on a recurring basis through Stripe. Your subscription renews automatically unless canceled before renewal. If payment fails, CardHive may suspend or limit access until payment is resolved.

6. Refund Policy

Fees are generally non-refundable, including partial billing periods. Any exceptions are made solely at CardHive's discretion.

7. Free Trial

If a free trial is offered, trial access converts automatically to a paid subscription unless canceled before the trial ends.

8. Acceptable Use

You may not use CardHive for any prohibited activity, including:

  • Spam or abusive messaging
  • Fraudulent, deceptive, or illegal conduct
  • Unauthorized scraping, crawling, or data extraction
  • Impersonation of any person or entity

9. Customer Data & Privacy

Merchants are responsible for customer data they collect and process through CardHive, including lawful basis, notices, and consent where required. Merchants must comply with GDPR and other applicable data protection laws.

10. Data Processing

For personal data processed through the service, CardHive acts as a data processor and the merchant acts as a data controller under GDPR.

11. Intellectual Property

CardHive and its licensors retain all rights in the platform, software, and related intellectual property. Merchants retain ownership of their own content, trademarks, and branding uploaded to the platform.

12. Third-Party Services

CardHive integrates with third-party services including Stripe, Supabase, and Calendly. CardHive is not responsible for outages, errors, or policy changes of third-party providers.

13. Limitation of Liability

To the fullest extent permitted by law, CardHive's aggregate liability is limited to the fees paid by you in the three (3) months preceding the event giving rise to liability. CardHive is not liable for indirect, incidental, special, consequential, or punitive damages.

14. Indemnification

You agree to indemnify and hold harmless CardHive, its affiliates, and personnel against claims, liabilities, losses, and expenses arising out of your use of the service, your content, or your violation of these terms.

15. Service Availability

CardHive is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted uptime and may perform planned or unplanned maintenance and updates.

16. Termination

CardHive may suspend or terminate accounts for violations of these terms or applicable law. You may cancel your subscription at any time via your account or billing portal.

17. Effect of Termination

Following cancellation or termination, CardHive may retain account data for up to 30 days to support reactivation and legal obligations, after which data may be deleted according to our retention policies.

18. Modifications to Terms

CardHive may update these Terms & Conditions from time to time. Material changes will be communicated by email and/or in-app notice. Continued use after changes become effective constitutes acceptance.

19. Governing Law

These terms are governed by the laws of Switzerland, without regard to conflict-of-law principles.

20. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiation. If unresolved, disputes will be submitted to the competent courts or arbitration forum in Switzerland, as applicable.

21. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

22. Entire Agreement

These Terms & Conditions constitute the entire agreement between you and CardHive regarding CardHive and supersede prior agreements and understandings.
